Eligibility

To participate in Solana Synthetics offerings, you must meet the criteria for both an Accredited Investor and a Qualified Purchaser. Below, we outline the requirements for each designation. While you only need to meet one criterion under each category, you must satisfy both categories to qualify.

Please note:

  • Accredited Investor criteria require you to provide evidence for your selected qualification.

  • Qualified Purchaser criteria are self-attested.


Accredited Investor Criteria

To qualify as an Accredited Investor, you must meet at least one of the following criteria:

Individuals

  1. Net Worth: A natural person whose individual net worth, or joint net worth with a spouse (or equivalent), exceeds $1,000,000 at the time of purchase, excluding the value of the primary residence. Debt secured by the primary residence should only be considered if it exceeds the fair market value of the residence or was incurred within 60 days prior to the investment.

  2. Income: A natural person with an individual income exceeding $200,000 (or joint income with a spouse exceeding $300,000) in each of the past two years, with a reasonable expectation of achieving the same level in the current year.

  3. Professional Certifications: A natural person holding certifications such as:

    • Licensed General Securities Representative (Series 7)

    • Licensed Private Securities Offerings Representative (Series 82)

    • Licensed Investment Adviser Representative (Series 65)

    • Or any other certification recognized by the SEC.

  4. Knowledgeable Employee: A person deemed a "knowledgeable employee" of the fund as defined under Rule 3c-5(a)(4) of the Investment Company Act.

  5. Executive Role: A director, executive officer, or general partner of the issuer of the securities or of a general partner of the issuer.

Institutions

  1. Banks, brokers, or dealers registered under applicable financial regulations.

  2. Registered or exempt investment advisers.

  3. Insurance companies or investment companies with substantial assets.

  4. Trusts or entities with total assets exceeding $5,000,000, not formed for the specific purpose of acquiring the securities.

  5. Entities in which all equity owners are accredited investors.

  6. Family offices with $5,000,000+ under management and directed by financially knowledgeable persons.


Qualified Purchaser Criteria

To qualify as a Qualified Purchaser, you must meet at least one of the following criteria:

  1. Natural Person: A natural person owning at least $5,000,000 in investments, either individually or jointly with a spouse.

  2. Company: A company owning at least $5,000,000 in investments, not formed for the specific purpose of acquiring the securities, and owned by natural persons or family members.

  3. Trust: A trust with total investments of $5,000,000 or more, where all contributors and decision-makers meet Qualified Purchaser criteria.

  4. Institutional Investor: An entity that owns and invests at least $25,000,000 on a discretionary basis, including certain qualified institutional buyers as defined under Rule 144A.

  5. Knowledgeable Employee: A knowledgeable employee as defined under Rule 3c-5(a)(4) of the Investment Company Act.

  6. Transferee: A person who acquires interests from a qualified purchaser under specific circumstances, such as inheritance or legal agreements.

  7. Entities: Any entity where all beneficial owners of securities are Qualified Purchasers.


Jurisdictional Restrictions

Participants must not be located, organized, or residents in the following jurisdictions:

  • Crimea, Donetsk, Kherson, Luhansk, Zaporizhzhia, Sevastopol

  • Cuba, Iran, North Korea, Syria, Venezuela, Russia, or Darfur Region of Sudan

  • South Korea
